Delphi Motors Corporation recently announced that it has reached a definitive agreement with Mahler to sell Mahler’s wholly-owned operations of its heat exchange systems division for approximately US$727 million. Delphi’s proceeds from this transaction will be used for growth of the company’s business, including business acquisitions and stock repurchases. With the approval of the relevant regulatory authorities, this transaction is expected to be completed in the third quarter of 2015.

In addition, Delphi and Mahler also agreed to transfer the shares of Delphi Automotive Air Conditioning Systems Co., Ltd., its joint venture in China owned by Delphi Heat Exchange Systems Division, and the transfer price was not included in the overall price of US$727 million. The Delphi Heat Exchange System Division generated sales of US$1.6 billion in 2014 and has nearly 6,700 employees and 13 factories worldwide. From the first quarter of 2015, the business results of this division will be disclosed independently.

The Chairman and President of Mahle’s Management Committee stated: “The purchase of Delphi's Heat Exchange System Division will strengthen our position in the heat exchange system market, expand our production footprint in Europe, North America and Asia, expand our product range, and increase systematization. The ability, especially in the field of air-conditioning compressors, is an important step in MAHLE's continuous development strategy."
